Optimize Search Group has partnered with a well-established, privately held organization that is seeking an experienced Senior Corporate Counsel to join its legal team in Dallas. This is a high-impact opportunity for a seasoned transactional attorney who enjoys working closely with executive leadership and business stakeholders on sophisticated corporate matters.
The ideal candidate will bring strong business judgment, excellent analytical and communication skills, and the ability to independently manage complex legal matters. This position will partner closely with senior legal leadership and key executives while collaborating with internal departments and outside counsel.
Key Responsibilities
- Support senior legal leadership on a broad range of corporate and transactional matters.
- Assist with all phases of mergers, acquisitions, and other strategic transactions, including transaction structuring, due diligence, negotiation, documentation, and closing.
- Conduct legal and factual research and identify potential risks, liabilities, and regulatory considerations associated with business transactions.
- Advise leadership on corporate governance, organizational structure, ownership matters, and compliance with applicable federal and state laws.
- Monitor changes in relevant laws and regulations and provide guidance to help mitigate legal and business risk.
- Draft, review, negotiate, and manage a variety of commercial agreements and other corporate contracts.
- Provide legal support related to corporate real estate matters, including the review and negotiation of office and commercial leases.
- Oversee the formation, maintenance, and governance of domestic and international legal entities.
- Maintain and assist with corporate records, ownership documentation, and related governance materials.
- Develop, maintain, and update internal legal forms, agreements, policies, and correspondence.
- Partner with executives, business leaders, and cross-functional teams to provide practical, business-focused legal guidance.
- Coordinate with external legal counsel when specialized expertise or additional support is required.
Qualifications
- 10+ years of experience practicing corporate, transactional, or business law, preferably with significant in-house or sophisticated law firm experience.
- Strong knowledge of corporate law, commercial contracts, mergers and acquisitions, corporate governance, and regulatory compliance.
- Demonstrated experience managing complex transactions from due diligence through closing.
- Experience advising senior executives and business leaders on legal and risk-related matters.
- Experience with corporate entities, governance, ownership matters, and compliance.
- Strong contract drafting, negotiation, and legal research skills.
